Incoterms

ICC rules that split shipping cost, risk and duties between buyer and seller.

Definition

Incoterms® are published by the International Chamber of Commerce. The current version is Incoterms 2020. Each rule (EXW, FCA, FOB, CIF, DAP, DDP, and others) defines where risk and cost transfer. They are not a complete sales contract and are not tax advice. “DDU” is legacy wording — use DAP or DPU under Incoterms 2020.

Worked example

A quote “US$3.20/unit FOB Shenzhen” means the seller gets goods on board in Shenzhen; you pay ocean freight, insurance, import clearance and onward delivery. The same goods “DDP Midlands 3PL” price in delivery and import formalities differently.

Why it matters for replenishment

Wrong Incoterms blow up landed cost and lead-time assumptions — the two inputs replenishment needs most for imports.

Common questions

What replaced DDU?

DDU is not in Incoterms 2020. Use DAP (delivered ready for unloading, buyer clears import) or DPU (seller unloads).

Are Incoterms mandatory?

No, but using a named Incoterms 2020 rule in the contract reduces ambiguity.

Do Incoterms set ownership?

They allocate cost and risk points; title/ownership is separate legal wording.

Is Incoterms the same everywhere?

The idea is shared, but formulas and marketplace rules differ. Use the definition on this page for ecommerce replenishment.

Do I need software to track Incoterms?

A spreadsheet works for a few SKUs. Once you have many suppliers or channels, a replenishment tool keeps the numbers current.

Does OmniRestock change my live stock?

Not unless you switch Stock write or Purchase orders on for a connection. Drafts stay drafts until you confirm.
